Reseller Terms

Below are the Reseller Terms and Conditions (“Reseller Terms”). Please read carefully before proceeding. If you continue to use our service and resell tickets on our site (and we hope you do), then you are agreeing to the following Reseller Terms.

These Reseller Terms incorporate our Terms of Use and our Privacy Policy by reference including the limitations of liability and agreement to arbitrate included in the Terms of Use. If the Terms of Use or the Privacy Policy are inconsistent with these Reseller Terms, these Reseller Terms shall control with respect to the subject matter contemplated herein. Any capitalized terms used herein that are undefined have the meaning given to such term in the Terms of Use.

We reserve the right, in our sole discretion, to change these Reseller Terms at any time and will post such changes here. All changes shall automatically replace prior terms and conditions and become binding on all Resellers. Maintaining your status as a Reseller following any such change constitutes acceptance of the revised Reseller Terms.

Our role

We provide an easy-to-use platform that allows you (“Reseller”) to resell event tickets that you purchased on our Site by connecting you with other fans.

To be a Reseller, you must have a current account on our Site and include a valid credit card in your account. Upon registering as a Reseller, you expressly represent that you:

  • are over the age of 18 and legally able to enter into a binding contract;
  • are a citizen or permanent resident of the United States, Canada, Australia, New Zealand or the European Union (sorry, we currently support Resellers only in these locations); and
  • have read and will comply with all applicable laws, regulations and ordinances.

Listing your tickets

To resell your tickets on our Site, you must set a ticket price that is definitive and truly represents the amount for which you will sell the ticket to a buyer. You are responsible for all listing and pricing mistakes so please review your listing carefully. We have no liability to you if, due to human error or our Site’s malfunction, you list a ticket at a time or price you did not intend.

Once you provide the price and confirm your ownership of the ticket, your ticket will automatically be listed on our Site for sale.

We make no guarantee that any ticket listings will be live within a certain time frame.

We make no guarantee whatsoever that any ticket listed by you will be sold.

Warranties and termination of services

By listing a ticket on our Site for resale, you represent and warrant that each ticket is:

  • Valid and authentic, and currently owned and possessed by you.
  • In your possession and was purchased by you on our Site.
  • Neither available for sale nor listed anywhere for resale on any other marketplace, platform, or venue.

We may remove your listing at any time and for any reason, including if we believe you may be in violation of any of these warranties. Resellers who violate these warranties, these Reseller Terms, or the Terms and Conditions may be removed from the Site and prohibited from listing tickets on the Site.

Selling and payment

Once a buyer offers to purchase your ticket, your ticket will be automatically sold and transferred to the buyer.

Upon receipt of payment from the ticket buyer and after the occurrence of the event, we will remit your proceeds to you. Your proceeds are calculated based on the amount of the listing price set by you and less any fees charged by us, which we can set and adjust at any time and for any reason.

We typically will initiate payments to Resellers accounts after the event and payment will be paid to the bank account saved in your account. It is your responsibility to keep your bank account up-to-date and accurate.

You acknowledge and agree that we have the right to cancel any confirmed order or to withhold or delay payment on any completed order if we determine, in our sole discretion, that you are in violation of any of these Reseller Terms or the Terms and Conditions. We assume no responsibility or liability for such delay or nonpayment, to the fullest extent permissible under applicable law.

Scheduling changes & cancellations

Listings for postponed events will remain available for sale, subject to the updated date and time, as long as the original tickets remain valid for entry. Previously sold tickets for postponed events will remain sold and you are obligated to deliver previously confirmed orders. You are responsible for ensuring that all tickets listed and/or sold for postponed events, whether or not they have already been delivered, remain valid for entry.

In certain jurisdictions, including California (see California Business and Professions Code section 22507), the buyer has the right to request a refund for an order placed for an event that has been postponed or rescheduled. In the event of such requests from buyers, we will deem those orders canceled and will recover payment from you as described below.

Resellers will not be paid for tickets sold if an event or order is canceled, or if it is deemed canceled by us, the venue, the artist, or the Event Organizer.

  • If payment for the resale transaction has already been remitted to you, we will process a refund to the ticket buyer by charging your credit card on file. If successful, we will also return the tickets to your account, but we assume no liability and make no guarantee that such tickets will be returned.

    However, you, the Reseller, are responsible for repayment to the buyer for the full amount of the ticket(s) sold for any canceled event or order. We are authorized to charge your registered payment method, offset funds owed from future payments, or otherwise initiate recovery efforts to ensure repayment to the buyer for the full amount of the ticket price.

    In this circumstance, you will also receive a credit on the payment method you originally used to purchase the ticket from the Event Organizer.

  • If payment has not yet been made, we will refund the buyer. You will also receive a credit to the payment method you originally used to purchase the ticket from the Event Organizer. We will also attempt to return the tickets to your account, but we assume no liability and make no guarantee that such tickets will be returned.

Taxes

By reselling tickets on our Site, you are expressly agreeing to be responsible for the calculation, collection and/or remittance of any taxes in connection with a sale (international, federal, state, or municipal) as required by law. We will calculate, collect and remit sales taxes for events taking place within particular jurisdictions; however, we are in no way responsible for the accuracy or suitability of any payment of taxes made by us to any entity on your behalf. You agree to provide us with any tax identification number necessary for us to provide (without notice to you) information to the relevant tax authorities related to payments. You hereby authorize us to provide information to any government agency or body regarding any payments you receive in relation to any transaction on our Site.

Compliance with law

The sale or purchase of tickets on the secondary market is regulated by certain countries, states, counties and municipalities. You acknowledge that complying with laws in you jurisdiction is your responsibility and agree to hold TIXR harmless for any failure to comply with any law or our failure to notify you of, or properly apply, any law.

Agency

Reseller and Tixr are independent contractors, and no agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended or created by these Reseller Terms.

Indemnification

You agree to indemnify, defend and hold TIXR, its affiliates, investors, licensors, suppliers, advertisers and sponsors, and their respective employees, officers, consultants, agents and other representatives (“Indemnified Parties”), harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees) and other expenses that arise directly or indirectly out of or from: (i) your breach of these Reseller Terms and/or the Terms and Conditions; (ii) any allegation that any information you submit or transmit to the Site infringes or otherwise violates the copyright, trademark, trade secret or other intellectual property or other rights of any third party; (iii) any federal, state, municipality, county, city or other tax obligation or amounts due or owing under any tax regulation, law, order or decree or any dispute concerning the tax status of TIXR; and/or (iv) you activities in connection with the listing of and sale of tickets on this site.

ALLOCATION OF RISK

RESELLER ACKNOWLEDGES AND AGREES THAT THE FOREGOING DISCLAIMERS AND LIMITATIONS OF LIABILITY REPRESENT BARGAINED FOR ALLOCATIONS OF RISK, AND THAT THE PRICING AND OTHER TERMS AND CONDITIONS OF THESE RESELLER TERMS REFLECT SUCH ALLOCATION OF RISK.
